Welcome to Springbank Fundraising. These Terms of Service ("Terms") govern your use of our website fundraisingwithcheese.ca and our fundraising services ("Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, please do not use our Services. We may update these Terms from time to time, and continued use of our Services constitutes acceptance of any changes.
2. Description of Services
Springbank Fundraising provides an online platform that enables organizations to conduct fundraising campaigns through the sale of premium cheese products. Our Services include:
- Online fundraising campaign management
- Custom fundraising links for organizations
- Order processing and payment handling
- Product fulfillment and shipping
- Campaign tracking and reporting
- Customer support and assistance
3. Eligibility and Account Registration
3.1 Eligibility
To use our Services, you must be at least 18 years old and represent a legitimate organization capable of entering into binding contracts. Organizations must be located in Canada and have a valid Canadian address for product delivery.
3.2 Account Registration
To participate in our fundraising program, you must complete our application process and have your organization approved. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Fundraising Program Terms
4.1 Commission Structure
Organizations receive 35% of the total sales value from their fundraising campaigns. Commission payments are calculated based on completed orders and are subject to our payment terms and conditions.
4.2 Campaign Duration
Fundraising campaigns must run for a minimum of 3 weeks and maximum of 8 weeks. Organizations must provide at least 35 days notice for product delivery dates to ensure adequate processing and shipping time.
4.3 Product Quality and Returns
We guarantee the quality of our cheese products. Customers may return products within 7 days of delivery for quality issues. Organizations are responsible for coordinating returns with their supporters.
5. Payment Terms
5.1 Payment Processing
All customer payments are processed through secure third-party payment processors. We do not store credit card information on our servers. Organizations receive their commission payments within 30 days of campaign completion.
5.2 Fees and Charges
There are no upfront fees to join our fundraising program. Our commission structure covers all costs including payment processing, product fulfillment, and shipping. Organizations are responsible for any applicable taxes on their commission earnings.
5.3 Refunds
Refunds for customer orders are handled on a case-by-case basis. Organizations may be responsible for commission adjustments related to refunded orders.
6. User Responsibilities
As a user of our Services, you agree to:
- Use our Services only for lawful purposes
- Provide accurate and truthful information
- Comply with all applicable laws and regulations
- Not engage in fraudulent or deceptive practices
- Respect the intellectual property rights of others
- Not attempt to circumvent security measures
- Maintain appropriate communication with customers
- Coordinate product distribution to supporters
7. Prohibited Activities
You may not use our Services to:
- Violate any laws or regulations
- Infringe upon intellectual property rights
- Transmit harmful or malicious code
- Engage in unauthorized advertising or spam
- Collect personal information without consent
- Impersonate another person or organization
- Interfere with the proper functioning of our Services

8. Intellectual Property
Our Services, including the website, software, content, and trademarks, are owned by Springbank Fundraising and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
You grant us a limited license to use any content you provide (such as organization information and campaign materials) solely for the purpose of providing our Services.
9. Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. By using our Services, you consent to the collection and use of information as described in our Privacy Policy.
10. Disclaimers and Limitations
10.1 Service Availability
We strive to maintain continuous service availability but do not guarantee uninterrupted access. We may temporarily suspend services for maintenance, updates, or technical issues.
10.2 Disclaimer of Warranties
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our Services will meet your specific requirements or that results will be achieved.
10.3 Limitation of Liability
To the maximum extent permitted by law, Springbank Fundraising shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Services.
11. Termination
Either party may terminate the agreement at any time with written notice. We reserve the right to suspend or terminate accounts that violate these Terms. Upon termination, outstanding commission payments will be processed according to our standard payment schedule.
12. Dispute Resolution
Any disputes arising from these Terms or your use of our Services will be resolved through binding arbitration in Alberta, Canada, in accordance with the laws of Alberta. Both parties agree to waive the right to a jury trial.
13. Force Majeure
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or other force majeure events.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of Alberta, Canada, without regard to its conflict of law principles. Any legal action must be brought in the courts of Alberta.
15. Changes to Terms
We may update these Terms at any time by posting the revised terms on our website. Your continued use of our Services after such changes constitutes acceptance of the new Terms. We will provide notice of material changes via email or website notification.
